Terms of Use

These Terms of Use (“Terms”) are a legal agreement between you (“you,” “your,” or “user”) and CuesHub, PBC (“CuesHub,” “Company,” “we,” or “us”) governing your access to and use of the CuesHub website, mobile app, smartwatch integrations, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our End-User License Agreement (EULA), which are incorporated by reference. If you do not agree, do not use the Services.

You must be at least 18 years old to use the Services. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian. By using the Services, you represent that you meet these eligibility requirements.

We may update these Terms from time to time. All changes are effective immediately upon posting. Continued use of the Services after changes means you accept the updated Terms.

To use CuesHub, you must have:

  • A compatible smartphone, smartwatch, or wearable device.

     

  • Internet access.

     

  • Permission granted to access device sensors (e.g., activity, sleep, heart rate).

     

You are responsible for maintaining your device, data connection, and account security. We may modify, suspend, or discontinue the Services at any time without notice.

CuesHub provides general wellness insights only. Our Services are not medical devices, not FDA-approved, and not intended to diagnose, treat, or cure any condition.

  • The Services may suggest levels of mental readiness, mental effort, or stamina, but these are informational only.

  • Always seek advice from a qualified health professional before making health, fitness, or mental wellness decisions.

  • Never ignore or delay professional medical advice because of information provided by CuesHub.

CuesHub may provide:

  • Tracking of cognitive activity (e.g., mental effort, readiness, stamina, and mental recharge).

  • Tracking of physical activity (e.g., calories, stamina, readiness) and sleep.

  • Personalized insights, cues, and reminders.

We may add, modify, or remove features without notice.

When using the Services, you agree that you will not:

  • Use the Services for unlawful purposes.

  • Attempt to reverse-engineer, modify, copy, or resell the Services.

  • Interfere with the normal operation of the Services.

  • Share your account or provide others with access to your device while using CuesHub.

All content, features, and functionality of the Services—including software, algorithms, text, graphics, and trademarks—are owned by CuesHub or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes only.

If you provide us with feedback, comments, or suggestions, you grant CuesHub a worldwide, perpetual, royalty-free license to use and incorporate that feedback into our Services.

If you voluntarily share reflections, notes, or other personal input within the app, ownership remains yours, but you grant us a license to use it solely for providing the Services.

Our collection and use of data is governed by the CuesHub Privacy Policy. By using the Services, you consent to how we collect, store, and process information—including sensor, activity, and usage data—to provide insights and improve the Services.

You may not:

  • Access the Services through automated means (robots, scrapers).

  • Introduce malware, viruses, or harmful code.

  • Attempt to gain unauthorized access to our systems or other users’ accounts.

  • Use the Services in a way that harms CuesHub or its users.

The Services are provided “as is” and “as available.”
We do not warrant that the Services will be uninterrupted, accurate, error-free, or meet your expectations. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, non-infringement, and fitness for a particular purpose.

To the maximum extent permitted by law:

  • CuesHub’s total liability to you will not exceed the greater of $50 or the amount you paid us in the three months prior to the claim.

  • We are not liable for indirect, incidental, or consequential damages, including data loss, loss of profits, or health decisions made based on our Services.

You agree to defend and hold harmless CuesHub, its employees, and affiliates from claims, damages, or expenses arising from your misuse of the Services or violation of these Terms.

These Terms are governed by the laws of Tennessee, without regard to conflicts of law principles. Legal disputes will be resolved exclusively in courts located in Memphis, Tennessee, unless otherwise required by law.

At our discretion, disputes may instead be resolved through binding arbitration under the American Arbitration Association rules.

Any claim related to the Services must be filed within one (1) year from the date it arose, or it is permanently barred.

These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and CuesHub regarding the Services.

This website is operated by CuesHub, PBC, a Delaware Public Benefit Corporation.
